Patient Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the HerbaScript medicinary ordering service and patient portal operated by Root & Branch Chinese Medicine, LLC (“we,” “our,” or “us”). By creating an account, placing an order, or using any feature of the HerbaScript platform, you agree to be bound by these Terms.

1. Eligibility and Account

You must be at least 18 years of age to create an account and use HerbaScript. Accounts for minor patients must be created and managed by a parent or legal guardian.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us promptly if you become aware of any unauthorized access to your account.

You agree to provide accurate and complete information during registration and to keep your contact information current, including your email address and mobile phone number.

2. Nature of Services

HerbaScript is a platform for ordering custom herbal formulas prescribed by licensed practitioners. We are a medicinary (herbal pharmacy) that prepares and dispenses formulas based on prescriptions written by your treating practitioner.

HerbaScript does not provide medical advice, diagnosis, or treatment recommendations. All formulas dispensed through HerbaScript are prescribed by a licensed practitioner who maintains an independent clinical relationship with you. Questions about your formula, its ingredients, or your treatment plan should be directed to your prescribing practitioner.

3. Orders and Fulfillment

3.1 Order Placement

Orders are placed on your behalf by your treating practitioner through the HerbaScript system. You may also request refills of previously prescribed formulas through the patient portal, subject to practitioner approval.

3.2 Payment

Payment is due at the time of order unless other arrangements have been made with your practitioner. We accept payment via credit card through our third-party payment processor (Square). Payment links may be sent to you by SMS or email.

Unpaid orders are held for a limited period (typically 10 days), after which the order may be cancelled and inventory released. We will attempt to notify you before cancellation.

3.3 Pricing

Formula pricing is determined by the ingredients, quantities, and formula type prescribed by your practitioner. Prices may vary by practitioner. Shipping costs, if applicable, are calculated at checkout and added to your order total.

3.4 Pickup and Shipping

At checkout, your order will be designated for either clinic pickup or shipping. For pickup orders, you or your designated representative will be notified when the order is ready. For shipped orders, you will receive tracking information once the package has been dispatched.

We are not responsible for delays, loss, or damage caused by shipping carriers after the package has left our facility. If you experience a shipping issue, contact us and we will work with you and the carrier to resolve it.

4. Refills

You may request a refill of a previously prescribed formula through the patient portal. All refill requests are subject to review and approval by your prescribing practitioner. We cannot dispense any formula without an active practitioner prescription.

5. Returns and Cancellations

Because herbal formulas are custom-prepared for each patient, we generally cannot accept returns of prepared formulas. If you believe there is an error with your order, contact us as soon as possible and we will work to resolve the issue.

Orders may be cancelled before fulfillment begins. Once preparation of your formula has started, cancellation may not be possible.

6. SMS and Email Communications

By providing your mobile phone number and opting in during account registration, you consent to receive SMS text messages from Root & Branch Chinese Medicine via HerbaScript. Messages may include order status updates, payment requests, shipping notifications, appointment reminders, and clinic announcements.

Message frequency varies based on your order activity. Message and data rates may apply. You can opt out at any time by replying STOP to any message. Reply HELP for assistance. Carriers are not liable for delayed or undelivered messages.

Your consent to receive SMS messages is not a condition of purchasing goods or services. See our Privacy Policy for details on how your contact information is used and protected.

7. Patient Portal

The patient portal allows you to view your order history, pay for pending orders, request refills, and access formula information sheets and invoices.

Your portal account may display formulas from multiple practitioners if more than one practitioner has prescribed formulas for you through HerbaScript. Each practitioner can only view the formulas they have prescribed for you.

8. Intellectual Property

All content, software, design, and documentation associated with HerbaScript is the property of Root & Branch Chinese Medicine, LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any portion of the platform.

9. Limitation of Liability

HerbaScript is provided on an “as is” and “as available” basis. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

Root & Branch Chinese Medicine is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of HerbaScript, including but not limited to damages for loss of data, delays in order fulfillment, or service interruptions.

Our total liability to you for any claims arising from these Terms or your use of HerbaScript shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms limits our liability for gross negligence, willful misconduct, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Root & Branch Chinese Medicine, its owners, employees, and agents from any claims, damages, or expenses arising from your misuse of the platform or violation of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes arising from these Terms or your use of HerbaScript shall be resolved in the state or federal courts located in Multnomah County, Oregon.

12. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you via the patient portal, email, or SMS. Your continued use of HerbaScript after notice of changes constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to us, our practitioners, or other users. You may close your account at any time by contacting us.

Upon termination, your right to use the platform ceases. We will retain your records as required by applicable law and our records retention policy.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
